i) These terms and conditions apply to the ” XOLO JBL OFFER ” (hereinafter referred to as “Program”) sponsored by LAVA International Ltd., brand owner of ‘XOLO’, having its office at A-56, Sector 64, Noida – 201301, UP (hereinafter referred to as “XOLO”) wherein consumers can participate, voluntarily, by their own free choice by buying select XOLO smartphone promotional pack (as defined later) and thereafter by registering their complete details & IMEI number by logging on to www.xolo.in/jbl-offer
The Program is subject to all applicable central and state laws and regulations.
I. Under this program, on purchase of any of the select XOLO models, customer will get one FREE JBL Headphone from XOLO. This customer offer is valid on five XOLO models namely – XOLO Q1200, XOLO Q1010i, XOLO Q1020, XOLO 8X-1000, and XOLO Play 8X-1100
AGREEMENT TO TERMS AND CONDITIONS:
(i) Free JBL headphone can be availed only through XOLO’s website : www.xolo.in/jbl-offer . By participating in this program through Online registration, consumers fully and unconditionally agree to accept and abide by these Terms and Conditions available and given on www.XOLO.in (“Program Website”) as well as the decisions of XOLO, which are final and binding in all matters related to the program. Successfully entering the Program and getting free JBL headphone is subject to all requirements set forth herein.
(ii) XOLO reserves the right to exclude any person from the program at any time on the grounds of being the subject of criminal investigation or due to misconduct or criminal record or conviction of any crime or is a subject of National Security threat.
(iii) XOLO reserves the right to terminate, modify or extend the Program, at any time at its absolute discretion, without assigning any reason whatsoever. All decisions of XOLO in respect of the Program and JBL headphone therein shall be final and binding.
ELIGIBILITY:
(i) This program will be open to all the citizens of India with the exception of XOLO/Lava employees and their families, XOLO/Lava promoters, distributors, retailers, other channel partners and the employees and their families of the partner agencies (hereinafter referred to as “Agency/ Partner Agency”), which is executing the program on behalf of XOLO.
(ii) People below 18 years of age shall not be eligible to participate.
(iii) In order to be eligible for the free JBL headphone, the participant must have a valid, photo ID Proof, Address Proof and the phone bill/invoice
(iv) XOLO or its partner agency for the program, will not be responsible for any NDNC (National Do Not Call) Registry regulation that comes into play. All participants who participate hereby agree and give express assent to XOLO or its partner agency for the program that even if they are registered under NDNC, DND (Do Not Disturb), XOLO or its partner agency for the program, will have the valid authority to call such consumers, by virtue of them having voluntarily participated in the program.
(v) People participating or seeking to participate in the Program shall individually be referred to as “Participant” and collectively as ” Participants”.
PROGRAM PERIOD AND PROMOTIONAL PACKS:
(i) The program will commence on 6th December, 2014 i.e. program is valid for consumers who are among the people who have bought select XOLO smartphones between 6th December, 2014 till offer last (“Limited Period Program, Till Stock Last”) and participated by registering online before 27th January 2015, however offer valid till stock last. However the IMEI number of the phones purchased before the Program Period and entered by the Participants will NOT be considered for selection of winners during the Program Period. A valid proof of purchase (Retail Tax Invoice) with the date of purchase during the promotion period and activation during the promo period will be a pre-requisite for the same.
(ii) This program shall run on select the smartphones of XOLO as mentioned above (“promotional packs”)
(iii) The consumers can participate any time during the Program Period i.e. choose the day when he/she wishes to participate during the Program Period, irrespective of the date of purchase of pack. However, the last date of participation is 26th January 2015.
(iv) Time of participation will be defined as the time at which the entry is received through online participation.
HOW TO PARTICIPATE:
To participate in the Program, the consumers must purchase the select XOLO promotional pack with the program logo on it. Next, they may take the following route to participate in the Program:
I. Participants need to visit www.xolo.in/jbl-offer , and provide his details in the online form with below information-
a. Name
b. Address
c. IMEI number (fill 1st IMEI number)
d. Mobile Number ( will be validated for already used mobile numbers, if yes error message, if no proceed)
e. Email id (This email id would be used for all further communication, offers from the brand)
f. After registration of details is successful and email notification will be sent respective participant
g. His details would be recorded in our database in backend.
II. Participants can check the status of JBL headphone on www.xolo.in/jbl-offer after entering his IMEI and Phone number to check the status of his shipment at
i. If he checks before 48 hours, he’ll be shown a message saying ‘Your details would be verified and updated after 48 hours. Please check again later.’
ii. If he checks after 48 hours, he’ll be shown the status whether it is shipped or not.
III. If participant is not able to track their shipment even when we have given the tracking details, they can share their concern at www.xolo.in/jbl-offer contact me(helpdesk)
IV. There will be an IMEI number verification process, If the participant enters an invalid IMEI number, the entry will be cancelled and will not be considered for the contest.
V. JBL headphone dispatch to participants will be done subject to the participants satisfying the verification process of XOLO.
VI. Offer cannot be transferred, exchanged or redeemed for cash. In the event that the winner does not take the offer in the time and manner stipulated, then the offer will be forfeited by the participant and cash will not be awarded in lieu of the JBL headphone. JBL headphone must be taken as offered and cannot be varied. Any unused JBL headphone is not-transferable, non-refundable and non-redeemable for other goods or services and cannot be taken in exchange for cash.
VII. XOLO or its Agencies shall not be liable for any loss or damage of the JBL headphone due to Act of God, Governmental action and other Force Majeure circumstances and shall not be liable to pay any compensation whatsoever for such losses.
VIII. All taxes, levies and charges on the JBL headphone will be borne by XOLO.
IX. One person will be eligible for only one JBL headphone during the program period
PUBLICITY:
(i) By accepting the JBL headphone, the Confirmed participant undertake and irrevocably and unconditionally permit XOLO to cover the Program through various media including newspapers, radio television news channels, internet, point of sale materials, etc., and shall not raise any objection, protest or demur to such coverage or in this regard.
(ii) The participant hereby grant to XOLO, the right to use their name, photograph, sound-bites, write-ups, video in any media found suitable by XOLO i.e. Radio, Print, Digital, Electronic or Point-of-sale media.
INTELLECTUAL PROPERTY:
(i) All right, title and interest, including but not limited to the Intellectual Property Rights, in the promotional material(s) and in any and all responses received shall vest solely and exclusively with XOLO at all times.
(ii) All material submitted in connection with the Program (whether written, audio, electronic or visual form, or a combination of those) or any photographs, video and/or film footage and/or audio recording taken of Participants are assigned to XOLO upon submission and become the property of XOLO exclusively. XOLO may use the material in any medium in any reasonable manner it sees fit. Copyright in any such material remains the sole property of XOLO.
DISPUTE:
- The rights and obligations of the Participants and/or XOLO and/or Partners of this Program, shall be governed and construed in accordance with the laws of India and the courts of competent jurisdiction at New Delhi shall have exclusive jurisdiction to determine any and all disputes arising out of, or in connection with, the Program.
MISCELLANEOUS:
(i) Packs of XOLO phones without this promotional offer may be simultaneously available in the market. This offer is valid only for packs with the promo logo.
(ii) Mere Participation in this Program does not entitle a participant to get JBL headphone unless all other terms and conditions are fully complied with. Any fraudulent conduct on the part of the participant shall disentitle the participant to receive the JBL headphone under this Program.
(iii) XOLO reserves the right to change, defer, alter or cancel this Program in part or full, or change any or all of the terms and conditions that are applicable, without giving prior intimation/notice of any kind and will not be liable for any consequential losses/damages. Any decision of XOLO in this regard and in general with respect to this Program and the terms and conditions thereto shall be final, binding.
(iv)The decision of XOLO shall be final in all regards and no communication shall be entertained in this regard. None of the provisions of these Terms and Conditions shall be deemed to constitute a partnership or agency between any participant and XOLO and the participant shall not have the authority to bind XOLO in any manner whatsoever
(v) XOLO or any of its respective officers/employees/directors shall not be responsible for delayed, lost, mutilated, corrupted or illegible documents and / or photocopies etc.
(vi) XOLO shall not be liable to perform any of its obligations under the Program or in respect of the JBL headphone where it is unable to do so as a result of circumstances beyond its control in the nature of fire, explosions, natural calamities, state emergency, riots, or any other Force Majeure condition etc., and shall not be liable to compensate the participant in these circumstances. XOLO shall not be accountable/liable for any disruptions/stoppages/interruptions or cancellation of the Program due to any government restrictions.
(vii) Failure to exercise or delay in exercising a right or remedy provided hereunder or by law does not constitute a waiver of the right or remedy or waiver of other rights or remedies on the part of XOLO or its Agency.
(viii) If a participant is dissatisfied with the Program and/or the terms and conditions of the Program, his/her sole and exclusive remedy is to not to participate in the Program.
(ix) If participant receives faulty JBL headphone or faces some issue related to JBL headphone then participants will need to contact customer care/service center of JBL, XOLO will not be responsible of any technical issues related to JBL headphone & no communication will be entertained on this matter from XOLO.
(x) If customer faces any technical issue on purchased XOLO model & if any DOA (Dead on arrival) (XOLO DOA policy will be applicable) occurs then JBL headphone will be provided for initial purchased model only, participant will not get additional JBL headphone for new select model which he receives in lieu of DOA as a replacement unit.
(xi) All service related issues related to JBL headphone will be taken care by JBL only, customer need to contact JBL customer care service centers only, details of JBL customer care is mentioned on JBL headphones.
